A buyer of a Griffin, GA convenience store, auto shop or restaurant can pay for it with three pieces: cash put down, a business term loan for the larger part of the price, and sometimes a note the seller carries. Valestead Lending Group sends the request to funding partners, who set any offer's amount, rate and term. Land and buildings are financed elsewhere: Valestead does not arrange those loans.
What the price of a small Griffin, GA business buys, how a down payment and a seller note sit beside a term loan, how stock and equipment are counted at closing, and the seller records a buyer can ask for.
Convenience stores, auto shops and restaurants for sale
Buying a running business means paying for things that are already working: the equipment, the stock on the shelves, the name on the sign, the customer list and the lease on the space. What lenders call a business acquisition loan is a term loan matched to the agreed price, with the buyer's cash beside it. What the buyer gets differs by trade, and so does what can go wrong after the keys change hands.
| Business | What the price can include | What a buyer can verify before signing |
|---|---|---|
| Convenience store | Coolers, shelving, register system, store stock, the lease | Sales tax returns against register reports; cooler age; lease length left |
| Auto shop | Lifts, brake lathe, scan tools, parts stock, the customer list, the lease | Repair orders by month; which customers follow the owner; lift inspection records |
| Restaurant | Cooking line, refrigeration, movable seating, the name and recipes, the lease | Card deposits against reported sales; the latest health inspection; hood service records |
The Spalding County, GA counts show how small these businesses can be. In 2023, 18 of the county's 30 auto repair and maintenance establishments had fewer than five employees (CBP, NAICS 8111), and all but one of its convenience store establishments (18 in all) did too (CBP, NAICS 445120). Limited-service restaurants run larger crews: 10 of 59 were that small (CBP, NAICS 722513).
In a business with three or four people, the seller is often one of them. When the seller works the counter or the main bay, a buyer can ask for a transition period in the purchase agreement, with the seller staying on for a set number of weeks to introduce customers and suppliers.
Down payment and seller financing
A funding partner can ask the buyer to put cash in, and the amount is the partner's call. A seller note covers part of the gap: the seller is paid that share over time instead of at closing. A partner can ask that a seller note be on standby, meaning no payments to the seller for a set period, so the new owner's cash goes to the term loan first.
Example with invented numbers: an auto repair business in a leased building is priced at $340,000. In this example the buyer puts $34,000 down, the seller carries $34,000 over 60 months at 7%, and a term loan covers $272,000 over 120 months at 10.5%.
| Structure | Term loan payment | Seller note payment | Monthly total |
|---|---|---|---|
| 10% down + 10% seller note | $3,670.23 | $673.24 | $4,343.47 |
| 10% down, term loan for the rest | $4,129.01 | none | $4,129.01 |
In this example the seller note raises the monthly total for the first 60 months, to $4,343.47 against $4,129.01, because the note runs only five years. From month 61 on, the buyer owes only the term loan payment of $3,670.23, $458.78 lower than the payment under the single-loan structure. Whether the first five years fit depends on the shop's own cash flow, which is the number to model before making an offer.
Inventory and equipment in the purchase price
The price on a listing is one number; the purchase agreement can split it into parts. Equipment, stock, the customer list and goodwill each get a share, and the buyer and seller each report that split to the IRS on Form 8594 after the sale. An accountant handles the tax side; for the funding side, the split shows a partner how much of the price rests on things it can value, like lifts and coolers, and how much is goodwill.
Stock is counted at closing, not taken from the listing. In this invented case, the listing estimated $48,000 of parts on the shelves, and the closing count found $41,500, so the price in this example drops by $6,500. An agreement that sets the stock value at cost on the closing date avoids an argument later.
Equipment needs a list with make, model and serial number, and a lien search on the seller's business name. A cooler or lift that the seller still owes money on is paid off from the sale proceeds so the buyer receives it with no lien left on it. For a station, the gas stations and convenience stores page prices a purchase part by part with the land left out.
Restocking after the first busy weeks can run through inventory financing, and a cushion for payroll while the new owner learns the cash cycle can come from working capital, so the purchase loan pays only for the purchase.
